1. Introduction

1.1  This page (together with the documents referred to on it) tells you the terms and conditions on which we supply Oblique Life Membership (OLM) cards, and you become a member of The Oblique Life. Further details regarding The Oblique Life can be on www.obliquelondon.com (our site). Please read these terms and conditions carefully and make sure that you understand them, before subscribing to The Oblique Life. You should understand that by subscribing, you agree to be bound by these terms and conditions.

1.2  You should print a copy of these terms and conditions for future reference.

2: About the Company

2.1 This website is operated by Oblique London Limited Liability Partnership (Oblique London). Oblique London is registered in England and Wales under company number OC389802, with its registered office address at 5 Theobald Court, Theobald Street, Elstree, Herts, United Kingdom, WD6 4RN.

2.2 Throughout the site, the terms “we”, “us” and “our” refer to Oblique London. Oblique London offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

2.3 By visiting our site and/ or purchasing something from us, you agree to be bound by the following Terms and Conditions (Terms). These Terms apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

2.4 Please read these Terms carefully before accessing or using our website.  If you do not agree to all the Terms of this agreement, then you may not access the website or use any services.

2.5 Any new features or tools which are added to the current store shall also be subject to the Terms. You can review the most current version of the Terms at any time on this page. We reserve the right to update, change or replace any part of these Terms by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

3. Your status

3.1 By applying for an Oblique Life Membership, you warrant that you are legally capable of entering into binding contracts and you are at least 18 years old.

4. How the contract between you and us is formed

4.1 After applying to become and Oblique Life Member, you will receive an e-mail from us acknowledging that we have received your application and the appropriate steps to finalise your membership application should we approve your initial application.

4.2 To finalise your application, you will be required to set up a direct debit for your annual subscription through our secure third party payment-processing agent GoCardless.

4.3 Once this has been completed, we will confirm your acceptance by sending you an e-mail that confirms that payment has been accepted and that your Oblique Life Membership Card has been dispatched.

4.4 The contract between us will only be formed when we send you confirmation of acceptance of payment.

4.5 Once the contract has been formed, your annual subscription will be paid in twelve equal monthly instalments via direct debit unless in your application you have requested to pay for the annual subscription on an annual basis. If you have chosen to pay up front annually, your annual membership fee will be subject to a 20% discount.

4.6 By choosing the monthly payment option, £15 will be debited from your account each month, which includes the £12.50 pro rata membership fee plus a 20% VAT charge. If you have chosen to pay for your membership annually, £144 will be debited from your account which includes the £120 annual membership fee (including the 20% discount) plus a 20% VAT charge.

5. Term

5.1 The Oblique Life is an on-going subscription service so your membership is continuous and your membership is renewed automatically at the end of each membership period, which is one calendar year.

5.2 We will send you an electronic reminder towards the end of your membership term to advise you of the details of the new subscription. Your renewal date is 4 days prior to the expiry date printed on your OLM card.

5.3 We will not be liable for any non-receipt of communication from us, including non-receipt of the renewal reminder. You are required to inform us if you change your correspondence address (both email and postal).

6. Consumer rights

6.1 You have the right to cancel your initial registration of membership with us within 72 hours of your original purchase. No refunds will be issued after 72 hours of being accepted.

6.2 Unless a cancellation request is made ahead of your renewal date, the annual fee, subject to change, will recur on the same calendar date of every subsequent year. There is no year-to-year cancellation fee.

6.3 If you do not want to renew your membership you should contact us by telephone on 0207 502 7974 or by email on info@obliquelondon.com at any point within your membership period and no later than 5pm on the working day preceding your renewal date. Upon cancellation you will receive a confirmation email; it is recommended that this is kept for your own personal records.

6.4 Oblique London does not accept mid-year subscription cancellations and will only terminate a membership at the end of the membership period, subject to compliance of the terms set out in clause 6.3.

6.5 Cancelling your direct debit with GoCardless within your membership period does not imply termination of your membership and subject to the contract formed between us and yourselves as per clause 4.4, 4.5 & 4.6, Oblique London maintains the right to continue to debit your account in accordance of our agreement and until a formal request to cancel a membership renewal is accepted as per clause 6.3.

6.6 For ticketed events that are organised by Oblique London, cancellations and refund requests must be made at least 48 hours in advance of the event. Any requests made after his period will only be accepted under exceptional circumstances and at the discretion of the Oblique London team.

7. Availability and delivery

7.1 You will receive your OLM card and documentation within 30 days of our confirmation of your acceptance as a member of the club, unless there are exceptional circumstances.

7.2 Once your order has been accepted we aim to despatch your Welcome Pack within 4 working days. If you do not receive your Welcome Pack you must contact us within 30 days to request a replacement. If you do not contact us within the 30 days any replacement card that is issued will carry a £15.00 administration fee and be issued with the original expiry date.

8. Price and payment

8.1 The price of The Oblique Life membership fee will be as quoted on our site and be charged in accordance of clause 4.6.

8.2 The cost for a replacement card should you require one will be £15.

8.3 Prices include VAT.

8.4 Prices are liable to change at any time, but changes will not affect orders in respect of which we have already sent you confirmation.

8.5 Direct debit payments for the Oblique Life Membership subscription are processed by GoCardless in accordance to their own terms and conditions, which can be found here: https://gocardless.com/legal/

8.6 The only information we collect about you is your address and contact details. We do not store any customer credit or debit card information on our website as this data is retained by GoCardless within their own secure servers and is treated in accordance to their privacy policy, which can be found here: https://gocardless.com/legal/privacy/.

9. Participating restaurants and use of your OLM card

9.1 On presentation of your OLM card, participating restaurants will offer discounts as published on our site in accordance to the terms and conditions relevant to the offer.

9.2 Offers advertised on our site are only available to members who present an OLM card. Such offers may not be available in conjunction with any other offers that participating restaurants may be running, which may include set menus or any other menus other than the standard a la carte menu.

9.3 The expiry date of each OLM card will vary and will always be checked at each restaurant. Expired OLM cards are not accepted by participating restaurants. Memberships are strictly non-transferable and can only be used by named members and their dining partners, up to the limited specified by participating restaurants on our site. Any attempted misuse of OLM cards may result in confiscation.

9.4 We will use reasonable endeavours to update our site to show the particulars of participating restaurants and the terms of their availability for participation in the club. Participating restaurants may, however, be entitled to withdraw from the club or to change the terms and conditions of their availability after you have become a member and we shall have no liability for any such withdrawals or changes in terms and conditions or availability.

9.5 Members will have the benefit of any additional restaurants which join the club at a later date and any increase in availability of participating restaurants.

9.6 Our printed marketing material is intended as a guide of restaurants who are participating at the time of publication and, therefore, may not include all participating restaurants at any one time.

10. Our liability

10.1 Subject to clause 10.3, if we fail to comply with these terms and conditions, we shall only be liable for the membership fee.

10.2 Subject to clause 10.3, we will not be liable for losses that result from our failure to comply with these terms and conditions that fall into the following categories:

10.2.1 loss of income or revenue;

10.2.2 loss of business;

10.2.3 loss of profits; or

10.2.4 loss of anticipated savings.

10.3 Nothing in this agreement excludes or limits our liability for:

10.3.1 death or personal injury caused by our negligence;

10.3.2 fraud or fraudulent misrepresentation;

10.3.3 any breach of the obligations implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982; or

10.3.4 any other matter for which it would be illegal for us to exclude or attempt to exclude our liability.

10.4 Where you purchase food from any participating restaurant, any losses or liability arising out of, or in connection with, such food shall be the relevant participating restaurant’s liability. We accept no liability for any bad experiences or bad food at any of the participating restaurants. We will not become involved in any dispute between you and any restaurant.

10.5 We do not give any warranty for any goods or services accessed through, or displayed on, our site.

11. Written communication

11.1 Applicable laws require that some of the information or communications we send to you should be in writing. When using our site, you accept that communication with us will be mainly electronic. We will contact you by e-mail or provide you with information by posting notices on our website. For contractual purposes, you agree to this electronic means of communication and you acknowledge that all contracts, notices, information and other communications that we provide to you electronically comply with any legal requirement that such communications be in writing. This condition does not affect your statutory rights.

12. Notices

12.1 All notices given by you to us must be given to The Oblique Team at info@obliquelondon.com We may give notice to you at either the e-mail or postal address you provide to us when placing an order, or in any of the ways specified in clause 11 above. Notice will be deemed received and properly served immediately when posted on our website, 24 hours after an e-mail is sent, or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an e-mail, that such e-mail was sent to the specified e-mail address of the addressee.

13. Waiver

13.1 Failure by us to enforce any of these terms and conditions will not prevent us from subsequently relying on, or enforcing, them.

14. Severability

14.1 If any court or competent authority decides that any of the provisions of these terms and conditions are invalid, unlawful or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by law.

15. Third party rights

15.1 A person who is not party to these terms and conditions shall not have any rights under or in connection with it under the Contracts (Rights of Third Parties) Act 1999.

16 Entire agreement

16.1 These terms and conditions and any document expressly referred to in them constitute the whole agreement between us and supersede all previous discussions, correspondence, negotiations, previous arrangement, understanding or agreement between us relating to the subject matter of these terms and conditions. We each acknowledge that, in entering into these terms and conditions, neither of us relies on, or will have any remedies in respect of, any representation or warranty (whether made innocently or negligently) that is not set out in these terms and conditions or the documents referred to in them. Nothing in this clause limits or excludes any liability for fraud.

17 Law and jurisdiction

17.1 This agreement shall be interpreted in accordance with the English law and subject to the non-exclusive jurisdiction of the English Courts.

18 Third-party links

18.1 Certain content, products and services available via our Service may include materials from third-parties.

18.2 Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties.

18.3 We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party’s policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

19 Personal Information

19.1 Your submission of personal information through the website is governed by our Privacy Policy.

20. Member Conduct Agreement

20.1 All members and their guests are expected to abide by the Member Conduct Agreement as set forth in the following clauses. Any member or guest in violation of this Agreement may have his/her membership revoked without appeal.

20.2 Members and guests should behave in a manner that creates a respectful, safe environment for all. Unacceptable behaviours include, but are not limited to: illicit drug use; excessive inebriation; harassment; threatening behaviour or physical/verbal abuse; indecency; stealing; damaging property. Members who fail to conduct themselves appropriately may face disciplinary action, including membership termination.

20.3 A member found to be in violation of the above terms may have his or her membership terminated at the discretion of the Oblique Team. Once a membership is revoked, the member will be notified, his or her account will be deactivated, and we will issue a prorated refund for the remaining months of membership on successful return of the member’s membership card. The decision to terminate a membership is final, non‐negotiable, and cannot be appealed.

20.4 You agree to indemnify and hold Oblique London and its subsidiaries, officers, agents, employees and partners harmless from any and all claims or demands, losses, liabilities, damages, fines, penalties, costs and expenses arising out of your violation of the Terms and Conditions or Member Conduct Agreement.

20.5 This Agreement is subject to change at any time.
